Should an angel ever take a board seat?
Almost never. It carries fiduciary duties, personal liability and a real time commitment that a small cheque cannot justify. An observer seat gives you most of the visibility with essentially none of the exposure.
If I have no board seat and no veto, what protects me?
The lead investor's protective provisions, exercised on behalf of your whole share class. That is why the identity of the lead matters more to a small cheque than most of the terms do — you are relying on their judgement at the moments that count.
