Process & paperwork

Term sheets, warranties, disclosure letters and the one tax election that has cost American angels the most money.

Process & paperwork: common questions

Which document should an angel read first?
The term sheet, and within it the share class you are being offered. Everything downstream elaborates decisions already made there, and reopening a point after the long-form documents are drafted is expensive and resisted.
Is the disclosure letter worth reading?
It is the most informative document in the whole package and it takes twenty minutes. The warranties are boilerplate; the disclosure letter is the company's own account of everything not quite standard about it, written by people who know it is legally consequential.
